Offer Agreement (Public Offer for Sale)

1. Legal Nature of the Document

This Offer Agreement (hereinafter “Agreement”) constitutes a public offer by Jarteppa Consulting S.L., the legal operator of the project Bazar de Asia Central, to any legally capable individual or legal entity who wishes to purchase goods or services via the platform https://bazarca.com or affiliated offline and online distribution channels.

In accordance with Spanish and EU legislation, this public offer:

  • Has full legal force once accepted by the Buyer;

  • Is equivalent to a formal sales contract under Real Decreto Legislativo 1/2007;

  • Applies to all commercial transactions, unless otherwise agreed in writing.

Buyer:
Any individual or legal entity who places an order on the Platform, including:

  • Individual consumers (residents of Spain or the EU);

  • B2B clients (restaurants, distributors, resellers);

  • Institutional clients (embassies, cultural centers, educational bodies);

  • Foreign customers outside the EU where export is legally permitted.


3. Subject of the Agreement

This Agreement governs the sale, payment, shipment, and use of products originating from Central Asian countries and offered for sale through Bazar de Asia Central.

The product categories include, but are not limited to:

  • Food products: dry fruits, teas, spices, honey, sweets, organic goods

  • Artisan crafts: handmade textiles, ceramics, metalwork, woodcarving

  • Wellness items: natural cosmetics, herbal balms, soaps

  • Cultural services: event access, language courses, culinary masterclasses

The products may be:

  • Imported in small or seasonal batches,

  • Produced to order, or

  • Distributed via local stock or international shipment.


4. Legal Framework and Consumer Rights

This Agreement is made in accordance with:

  • 🇪🇸 Spanish law:

    • Real Decreto Legislativo 1/2007 on consumer protection

    • Ley 34/2002 on services of the information society and electronic commerce

  • 🇪🇺 EU law:

    • Directive 2011/83/EU on consumer rights

    • Regulation (EU) 2019/1150 on online intermediation

    • GDPR Regulation (EU 2016/679) for data protection

The Agreement respects all mandatory consumer rights, including:

  • Right of access to information;

  • Right to transparent pricing;

  • Right to withdrawal (with specific exclusions, see below);

  • Right to clear terms of delivery, warranty and return.


5. Formation of Contract

A sales contract is considered concluded when the Buyer:

  1. Places an order through the Platform (or by approved offline means);

  2. Accepts the terms of this Agreement (by ticking consent box or finalizing payment);

  3. Pays the full amount due, as calculated at checkout.

An automatic order confirmation is sent to the Buyer’s registered email.


6. Description of Goods and Services

Each product offered on the Platform contains:

  • Name, image, description, origin country, weight/volume

  • Ingredients/materials, allergens (where applicable), storage instructions

  • Shelf life, method of preparation (for food products)

  • Legal information (e.g. eco, halal, fair trade)

  • Availability status (stock, made-to-order, out-of-stock)

⚠️ Some items are produced manually or imported specifically for each order. Minor variations in color, size, or labeling may occur and do not constitute a defect.


7. Prices and Payment Conditions

All prices:

  • Are stated in euros (€)

  • Include VAT (21% in Spain unless otherwise specified)

  • Do not include international customs fees (if applicable outside the EU)

  • Are subject to change based on exchange rates, transport, or supplier conditions

Accepted payment methods:

  • Credit/debit cards

  • Stripe

  • PayPal

  • Bank transfer (for B2B or high-value orders upon request)

No product is shipped until full payment is received.


8. Delivery and Fulfillment

8.1. Delivery Zones:

  • Mainland Spain (via local carriers)

  • Balearic & Canary Islands

  • EU countries (as shipping services allow)

  • International deliveries — case-by-case with customs rules observed

8.2. Delivery Methods:

  • From local stock in Spain: 3–7 business days

  • From Central Asia (direct): 10–20 business days, subject to customs

8.3. Tracking and Confirmation:

  • All shipments come with tracking numbers

  • Buyer receives notification upon dispatch

  • Delivery is considered completed when item is received or recorded as “delivered” by the carrier


9. Transfer of Title and Risk

Title of goods passes to the Buyer upon full payment.
Risk of damage or loss transfers upon handover to the logistics provider.


10. Right of Withdrawal and Exceptions

According to EU and Spanish law, Buyers have the right to cancel purchases within 14 calendar days of receipt.

However, the following products are not eligible for return or withdrawal:

  • Opened or perishable food products

  • Customized or made-to-order items (textiles, artisan crafts)

  • Personal hygiene or cosmetic products unsealed

  • Goods imported by specific customer request

  • Products clearly marked “non-refundable” on the website

11. Liability and Force Majeure

The Seller guarantees that:

  • All goods are legal and certified for import into the EU

  • Descriptions are accurate to the best of available information

  • Goods meet basic safety, labeling, and packaging regulations

However, the Seller is not responsible for:

  • Allergic reactions if allergens were disclosed

  • Customer misuse or improper storage

  • Delays due to force majeure: strikes, border closures, natural disasters

  • Errors due to third-party carriers, customs, or unforeseen events


12. Dispute Resolution and Jurisdiction

All disputes arising from this Agreement shall be:

  1. First addressed via email to [email protected]

  2. Then, if unresolved, submitted to the EU Online Dispute Resolution portalhttps://ec.europa.eu/consumers/odr

  3. If necessary, resolved by the Commercial Courts of Barcelona, Spain


13. Amendments

This Offer Agreement may be revised periodically. Changes will take effect upon publication at https://bazarca.com/offer-agreement.
